Introduction
Welcome to RFZ Digital These Terms of Service (“Terms”) govern access to and use of www.RFZDigital.Ai, communications with RFZ Digital through the website, and, where applicable, the general commercial framework under which RFZ Digital provides digital, technology, software, artificial intelligence, marketing, consulting, and talent services.
By accessing our website, submitting an enquiry, requesting a quotation, purchasing a service, engaging RFZ Digital for professional services, or otherwise interacting with us in a commercial capacity, you acknowledge that you have read and understood these Terms. RFZ Digital provides services primarily to businesses, organisations, entrepreneurs, startups, professionals, and other commercial clients. Where a customer is legally considered a consumer under applicable law, nothing in these Terms is intended to exclude or restrict any mandatory statutory rights that cannot lawfully be excluded.
These Terms should be read together with our Privacy Policy, Cookie Policy, and any applicable Proposal, Agreement, Statement of Work, Order Form, Service Agreement, Non-Disclosure Agreement, Data Processing Agreement, or other contractual document entered into between RFZ Digital and the client.
About RFZ Digital
RFZ Digital is a digital and technology services business providing solutions across areas including website design and development, custom software development, mobile application development, artificial intelligence and AI-enabled solutions, cloud and infrastructure services, digital transformation, technology consulting, UI/UX and digital design, search engine optimisation, digital marketing, paid advertising, social media management, content services, remote talent, staff augmentation, and related professional and technology services.
RFZ Digital operates within an international business environment and works with clients, technology providers, professionals, contractors, and partners across multiple jurisdictions. References in these Terms to “RFZ Digital”, “we”, “our”, or “us” refer to the relevant RFZ Digital or associated RFZ business entity providing the applicable service. References to “Client”, “Customer”, “you”, or “your” refer to the individual, company, organisation, or legal entity accessing our website or engaging our services.
Website Terms and Client Agreements
These Terms establish the general conditions applicable to the RFZ Digital website and, where relevant, our professional services. They are not intended to replace individually negotiated client agreements. Where RFZ Digital and a client enter into a signed Proposal, Statement of Work, Service Agreement, Development Agreement, Order Form, Master Services Agreement, or other written commercial agreement, that document will govern the applicable engagement.
If there is any inconsistency between these Terms and a separately executed agreement relating to a specific project, the separately executed agreement will take precedence with respect to that project. A Non-Disclosure Agreement will continue to govern confidential information according to its own provisions and will not be replaced by these Terms unless expressly agreed in writing. This contractual hierarchy allows RFZ Digital and its clients to establish project-specific requirements concerning scope, milestones, payment terms, intellectual property, confidentiality, maintenance, service levels, data protection, liability, or other commercial matters.
Use of the RFZ Digital Website
You may use RFZDigital.Ai for legitimate business, professional, informational, recruitment, and commercial purposes. You agree not to use the website in any manner that is unlawful, fraudulent, malicious, harmful, misleading, or intended to interfere with the security, availability, integrity, or operation of the website. You must not knowingly introduce viruses, malicious code, automated attack tools, harmful scripts, or other technologies designed to interfere with the website or its underlying infrastructure.
You must not attempt to obtain unauthorised access to RFZ Digital systems, servers, accounts, databases, administration interfaces, infrastructure, source code, internal documentation, or other restricted resources. Automated scraping, systematic extraction, replication of website content, or use of RFZ Digital intellectual property to train or operate competing commercial systems without authorisation is prohibited except where such activity is permitted by applicable law and cannot lawfully be restricted.
Information Provided on Our Website
RFZ Digital seeks to ensure that information presented on its website is accurate, professional, and current. However, technology, pricing, service capabilities, third-party platforms, market conditions, regulatory requirements, and service availability may change over time. Website content is therefore provided primarily for general business and informational purposes and should not automatically be interpreted as a binding commercial commitment.
Descriptions of capabilities, project timelines, packages, technologies, pricing, case studies, expected results, or service features may be illustrative and may vary depending on the requirements of a particular project. A binding commercial commitment arises only when the applicable scope, pricing, deliverables, and other material terms have been confirmed through an accepted quotation, proposal, order, agreement, or other authorised written confirmation from RFZ Digital.
Service Enquiries and Proposals
Submitting an enquiry through RFZDigital.Ai does not create a contractual relationship between you and RFZ Digital. Following an enquiry, RFZ Digital may request further information to understand the client’s objectives, technical requirements, commercial expectations, desired functionality, timeline, infrastructure, integrations, compliance requirements, or other matters relevant to the engagement.
Based on this information, RFZ Digital may issue a quotation, proposal, commercial offer, Statement of Work, or project agreement. Unless otherwise stated, proposals and quotations may be subject to a validity period and may be revised where requirements, assumptions, costs, exchange rates, third-party dependencies, resource availability, or project circumstances materially change before commencement.
RFZ Digital reserves the right to decline an enquiry or proposed engagement where the project falls outside our capabilities, availability, commercial criteria, ethical standards, legal requirements, or risk tolerance.
Pricing
Prices displayed on RFZDigital.Ai, including prices described using terms such as “from”, “starting from”, “estimated”, or similar wording, represent indicative starting prices and should not be interpreted as a fixed quotation for every project. Technology projects vary substantially in complexity, integrations, design requirements, functionality, infrastructure, security, scalability, regulatory requirements, support requirements, and resource requirements. The final commercial price for a project will therefore normally be established after RFZ Digital has evaluated the relevant scope.
The price confirmed in an accepted quotation, Proposal, Statement of Work, Order Form, invoice, or signed agreement will govern the applicable engagement. Unless expressly stated otherwise, third-party licence fees, cloud infrastructure charges, advertising expenditure, domain fees, hosting fees, payment gateway charges, SMS charges, external API usage, app-store charges, premium plugins, commercial software licences, travel expenses, and other external costs are not assumed to be included within RFZ Digital professional service fees.
Project Commencement
A project will generally commence when the conditions specified in the applicable Proposal or Agreement have been satisfied. These conditions may include execution of contractual documentation, payment of an agreed advance or initial milestone, receipt of necessary client information, provision of required system access, confirmation of project scope, and allocation of the relevant RFZ Digital resources.
Any proposed project start date communicated before these conditions are satisfied should be considered indicative unless expressly confirmed otherwise. RFZ Digital may adjust the commencement date where a client delays payment, approvals, access, documentation, content, credentials, technical information, or other dependencies required to begin work.
Client Responsibilities
Successful technology delivery requires effective cooperation between RFZ Digital and the client. Clients are responsible for providing complete and reasonably accurate project requirements, business information, feedback, approvals, content, credentials, technical documentation, access, and decisions required for RFZ Digital to perform the agreed services. Clients are also responsible for ensuring that they have the legal right and authority to provide RFZ Digital with any content, personal data, trademarks, logos, software, databases, credentials, documents, images, video, intellectual property, or other materials supplied for use within a project.
Where RFZ Digital relies upon information, instructions, specifications, or approvals supplied by the client, RFZ Digital will generally be entitled to treat those instructions as authorised and accurate unless there is a reasonable basis to believe otherwise. Delays caused by missing information, delayed approvals, unavailable personnel, changes in decision-making, third-party dependencies, or other client-side circumstances may affect project schedules and resource allocation.
Project Scope
The scope of a project will be determined by the applicable Proposal, Statement of Work, Agreement, specification, quotation, or other written project documentation. RFZ Digital will deliver the functionality and services expressly included within the agreed scope.
A general objective, discussion, demonstration, reference website, concept, meeting conversation, or informal message should not automatically be interpreted as expanding the contractual scope unless the change is subsequently approved as part of the project. Technology projects commonly evolve during delivery. RFZ Digital therefore encourages requirements to be documented clearly and decisions to be confirmed through appropriate project communication channels.
Change Requests and Additional Work
Requests that introduce new functionality, materially alter approved functionality, modify previously approved design, require additional integrations, expand platform support, introduce new compliance requirements, substantially change technical architecture, or otherwise increase the work required may be treated as a Change Request.
RFZ Digital will assess the effect of a material Change Request on development effort, resources, project cost, delivery dates, testing requirements, infrastructure, and other dependencies. Where additional commercial approval is required, RFZ Digital may provide a separate quotation, revised milestone, updated Statement of Work, or written change confirmation before proceeding.
Project Timelines and Milestones
RFZ Digital seeks to deliver projects according to agreed timelines and milestones. Unless expressly identified as a fixed contractual deadline, development dates represent reasonable delivery estimates based on the information, resources, assumptions, and dependencies known when the timeline is established.
Project timelines may be affected by client feedback, scope changes, third-party platforms, regulatory requirements, external APIs, app-store review processes, infrastructure providers, payment providers, technical discoveries, security requirements, force majeure events, or circumstances outside RFZ Digital’s reasonable control. Where a delay originates from the client or a third-party dependency, RFZ Digital may reasonably adjust the project schedule, milestone dates, or resource allocation.
Client Feedback and Approvals
Timely feedback is important to maintain project momentum. Where RFZ Digital submits designs, development builds, content, technical decisions, staging environments, prototypes, or other deliverables for review, the client is expected to provide feedback within a reasonable period or within any review period specified in the applicable project agreement.
If feedback is materially delayed, the project schedule may be adjusted and the assigned team may be allocated temporarily to other work. An approval communicated through an authorised project representative may be relied upon by RFZ Digital as permission to proceed to the next stage of work. Changes requested after formal approval of a project stage may be assessed as additional work where they materially affect previously completed deliverables.
User Acceptance Testing
Where User Acceptance Testing (“UAT”) forms part of a project, RFZ Digital will provide the client with an opportunity to review the relevant deliverables and identify material issues against the agreed requirements. UAT is intended to determine whether the delivered system materially conforms to the agreed project scope. It is not intended to introduce new features or requirements that were not part of the original scope.
RFZ Digital will address verified defects falling within the agreed project scope in accordance with the applicable project agreement or agreed testing process.
Requests arising during UAT that represent enhancements, new workflows, additional functionality, redesigns, new integrations, or changed business requirements may be handled separately through the Change Request process.
Fees and Payment
Payment terms will be established within the applicable quotation, Proposal, invoice, Statement of Work, or Agreement. RFZ Digital may structure projects using advance payments, milestone payments, monthly retainers, recurring service fees, hourly billing, fixed project fees, resource-based pricing, subscription arrangements, or another mutually agreed commercial model.
Invoices are payable according to the payment period specified on the relevant invoice or agreement. Where an invoice becomes materially overdue, RFZ Digital may suspend affected services, pause project resources, withhold further delivery, restrict access to work not yet contractually transferred, or delay subsequent milestones until the outstanding amount has been resolved, subject to applicable law and contractual obligations. RFZ Digital will not intentionally impose undisclosed charges. Any material additional work requiring additional payment should be communicated through the applicable commercial or Change Request process.
Taxes and Transaction Costs
Unless otherwise stated, quoted fees may be exclusive of applicable VAT, sales tax, withholding tax, digital service taxes, government levies, bank charges, currency-conversion charges, international transfer fees, or similar costs. Each party will be responsible for taxes imposed upon it according to applicable law.
Where a client is legally required to deduct or withhold tax from a payment, the client should provide appropriate official documentation demonstrating the deduction where relevant.
Third-Party Services and Technology
Modern digital systems frequently depend upon third-party products and infrastructure. A project may therefore incorporate or integrate services such as cloud infrastructure, hosting platforms, payment gateways, telecommunications providers, mapping services, artificial intelligence providers, analytics systems, authentication services, databases, app stores, email providers, SMS services, social networks, open-source software, commercial APIs, plugins, frameworks, or other external technologies.
Third-party services operate under their own availability commitments, pricing, terms, licences, privacy policies, technical limitations, and service conditions. RFZ Digital cannot guarantee the uninterrupted operation, continued availability, pricing, functionality, policy decisions, approval decisions, or future compatibility of an independent third-party service. Where a third-party provider changes or discontinues functionality after a project has been delivered, additional development may be required to adapt the applicable system.
Domains, Hosting and Cloud Infrastructure
Where RFZ Digital assists with domains, hosting, cloud infrastructure, servers, certificates, email services, databases, or similar resources, ownership and billing arrangements may vary according to the project. Where possible and commercially appropriate, critical client infrastructure may be established under accounts controlled by the client or transferred to the client upon completion.
Clients remain responsible for recurring third-party infrastructure charges unless the applicable agreement expressly includes those costs within an RFZ Digital managed service. RFZ Digital is not responsible for disruption resulting solely from an independent hosting, domain registrar, cloud, DNS, infrastructure, or telecommunications provider where the disruption falls outside RFZ Digital’s reasonable control.
Intellectual Property and Project Deliverables
Intellectual property ownership for custom project deliverables will primarily be determined by the applicable project agreement. Unless otherwise agreed in writing, ownership of bespoke final deliverables created specifically for a client may transfer to the client following receipt of all amounts due for those deliverables and satisfaction of the relevant contractual conditions.
RFZ Digital retains ownership of its pre-existing intellectual property, internal tools, methodologies, development processes, know-how, reusable components, generic libraries, frameworks, templates, technical architecture patterns, utilities, workflows, and other materials developed independently of a particular client engagement.
Where RFZ Digital intellectual property is incorporated into a client deliverable, the client may receive the rights reasonably necessary to use the final deliverable according to the relevant agreement without necessarily acquiring ownership of RFZ Digital underlying reusable technology. Third-party and open-source components remain subject to their respective licences.
Client Materials and Intellectual Property
The client retains ownership of intellectual property supplied to RFZ Digital, including its trademarks, logos, content, proprietary data, brand assets, documents, business materials, and other client-owned information. By providing materials to RFZ Digital for a project, the client authorises RFZ Digital to use those materials to the extent reasonably necessary to perform the agreed services.
The client represents that it has sufficient rights to provide such materials and that RFZ Digital’s authorised use of them for the project will not knowingly infringe the rights of another party. If RFZ Digital receives a legitimate intellectual property complaint concerning client-supplied material, we may request clarification, evidence of rights, replacement content, or other appropriate action.
Open-Source and Third-Party Intellectual Property
Software delivered by RFZ Digital may incorporate open-source frameworks, libraries, dependencies, packages, APIs, fonts, images, plugins, development tools, or other third-party components. Such components remain subject to their respective licence conditions and are not transferred as exclusive intellectual property of either RFZ Digital or the client where third-party ownership applies. RFZ Digital seeks to use third-party technologies appropriately, but clients remain responsible for maintaining applicable commercial licences and subscription fees after handover where those services are registered for the client’s ongoing use.
Portfolio and Project References
Unless otherwise prohibited by a confidentiality obligation, NDA, client agreement, or written instruction, RFZ Digital may identify completed public-facing work within its professional portfolio, capability presentations, proposals, case studies, or business-development materials. Any use of confidential information, non-public commercial information, sensitive project details, proprietary data, or unpublished products will remain subject to applicable confidentiality obligations.
Where a project is subject to strict confidentiality or a specific contractual restriction on publicity, the relevant agreement will take precedence.
Artificial Intelligence Services
RFZ Digital may design, develop, integrate, configure, or support systems involving artificial intelligence, machine learning, large language models, AI agents, generative AI, computer vision, speech technologies, automation, recommendation systems, or related technologies. AI systems are probabilistic by nature. Outputs may contain inaccuracies, incomplete information, unexpected responses, bias, or other limitations and should not automatically be treated as verified professional, legal, medical, financial, or regulatory advice.
The appropriate level of human review, approval, monitoring, guardrails, auditability, and decision authority should be determined according to the risk and use case of the applicable AI system. Where RFZ Digital integrates a third-party AI model or API, the operation and availability of that underlying model remain subject to the provider’s technical capabilities, policies, usage limits, pricing, safety systems, data practices, and service availability. RFZ Digital does not guarantee that an AI provider will maintain a particular model, API, price, feature, context limit, output behaviour, or capability indefinitely.
Search Engine Optimisation
SEO services are designed to improve technical optimisation, content quality, search visibility, website structure, authority, and other factors that may contribute to organic search performance. Search engines operate proprietary algorithms that change regularly and are outside RFZ Digital’s control.
Accordingly, unless expressly guaranteed in a separate written agreement, RFZ Digital does not guarantee a specific search ranking, keyword position, amount of organic traffic, number of enquiries, revenue level, or commercial outcome from SEO activities. We do not consider guaranteed rankings or guaranteed revenue to be a responsible representation of professional SEO services.
Digital Advertising and Marketing
Where RFZ Digital manages paid advertising, social media, lead generation, email marketing, content, or other digital marketing activities, performance may depend upon factors outside RFZ Digital’s direct control. These factors may include market demand, advertising budgets, competition, platform algorithms, account history, product quality, client pricing, audience behaviour, website conversion performance, creative assets, platform policies, economic conditions, seasonality, and client sales processes.
RFZ Digital may optimize campaigns and provide professional recommendations, but unless explicitly agreed otherwise, we do not guarantee a specific number of leads, sales, conversions, return on advertising spend, revenue, followers, impressions, or other commercial results. Advertising budgets paid to platforms are normally separate from RFZ Digital professional management fees unless expressly stated otherwise.
App Store and Platform Approvals
Where RFZ Digital develops mobile applications or systems that depend upon Apple, Google, Meta, Microsoft, payment providers, telecommunications companies, marketplaces, or similar platforms, final approval remains under the control of the relevant third party. RFZ Digital may assist clients with technical preparation, submission requirements, policy compliance, and remediation where within scope, but cannot guarantee that an independent platform will approve an application, account, integration, advertisement, payment facility, developer account, or other submission.
Changes to platform policies following delivery may require additional work.
Staff Augmentation and Remote Talent
Where RFZ Digital provides developers, designers, project managers, QA engineers, marketers, AI specialists, or other professionals through a staff augmentation or remote talent arrangement, the applicable commercial model, responsibilities, working hours, replacement terms, management responsibilities, confidentiality requirements, and resource commitments will be established in the relevant client agreement.
The client is responsible for providing reasonable project direction, access, requirements, and cooperation where personnel work directly within the client’s workflow. Employment, contracting, payroll, resource replacement, non-solicitation, direct-hiring arrangements, and related matters will be governed by the applicable staff augmentation agreement rather than by these general website Terms where a specific agreement exists.
Confidentiality
RFZ Digital recognises that technology engagements frequently involve confidential commercial and technical information. Where confidential information is disclosed in connection with an engagement, each party should use such information only for legitimate purposes connected with the relevant business relationship and protect it with a level of care appropriate to its sensitivity. Where an NDA or confidentiality clause has been separately executed, that agreement will govern confidentiality obligations.
Information that is already lawfully public, independently developed without use of confidential information, legitimately obtained from another source without confidentiality restrictions, or required to be disclosed by law may be treated differently according to the applicable agreement and legal requirements.
Data Protection and Privacy
Personal information processed through RFZDigital.Ai is handled in accordance with our Privacy Policy. Where RFZ Digital processes personal information on behalf of a client as part of a technology service, additional data protection terms or a Data Processing Agreement may be implemented where appropriate.
Each party remains responsible for the privacy and data protection obligations legally applicable to its role. Clients should inform RFZ Digital before providing unusually sensitive, regulated, or specially protected categories of information so that any additional security, architecture, compliance, or processing requirements can be appropriately assessed.
Information Security
RFZ Digital applies reasonable technical and organisational measures designed to protect systems and information within its control. Security measures may include authentication, access controls, encryption, secure development practices, cloud security controls, backups, monitoring, permissions, environment separation, and other safeguards appropriate to the project.
Cybersecurity risk cannot, however, be eliminated completely. No internet-connected software, cloud environment, website, application, communication network, or third-party infrastructure can be guaranteed to remain completely immune from security incidents. Clients are responsible for maintaining appropriate security controls on systems, credentials, accounts, devices, infrastructure, and information under their own control following handover.
Professional Standard of Services
RFZ Digital intends to perform professional services with reasonable care and skill appropriate to the nature of the engagement.
Technology services inherently involve technical complexity, evolving dependencies, and differing business requirements. Except where specifically included within a written agreement or required by applicable law, RFZ Digital does not provide unlimited or perpetual warranties regarding all software, infrastructure, integrations, marketing outcomes, or third-party technologies. Any project-specific warranty period, defect remediation arrangement, maintenance commitment, Service Level Agreement, or support package will be governed by the applicable project agreement. Nothing in these Terms excludes any obligation that cannot legally be excluded.
Maintenance and Ongoing Support
Completion of a project does not automatically create an indefinite maintenance or support obligation. Where ongoing maintenance, monitoring, hosting, infrastructure administration, content management, software updates, security management, technical support, SEO, marketing, or enhancement services are required, these may be provided under a separate maintenance plan, retainer, subscription, support agreement, or continuing Statement of Work. Where no ongoing maintenance arrangement exists, additional work requested after completion may be quoted separately.
Backups and Business Continuity
Where RFZ Digital manages hosting or infrastructure as part of an ongoing service, backup arrangements will depend on the architecture and service package agreed with the client. Clients should not assume that unlimited historical backups or disaster recovery services are included unless expressly confirmed. Following handover of client-controlled infrastructure, responsibility for ongoing backups, account security, credentials, software updates, disaster recovery, and system administration will ordinarily transfer to the client unless RFZ Digital continues to manage those functions under a separate agreement.
Suspension of Services
RFZ Digital may suspend all or part of a service where reasonably necessary because of material non-payment, serious breach of contract, unlawful activity, security risk, misuse of infrastructure, infringement concerns, threats to systems or personnel, regulatory requirements, or other circumstances that make continued delivery commercially, legally, or technically unreasonable. Where practicable and appropriate, RFZ Digital will seek to communicate the reason for suspension and provide an opportunity to address the issue.
Termination of Services
Termination rights for paid engagements will primarily be governed by the applicable client agreement. Where no separate termination provisions exist, either party may seek to end an ongoing engagement by providing reasonable written notice, subject to outstanding contractual commitments, completed work, committed resources, accrued charges, third-party liabilities, and other applicable obligations.
Termination does not automatically cancel fees already earned for work performed, milestones completed, resources committed, external costs incurred, or services already delivered. Following termination and settlement of applicable obligations, RFZ Digital will reasonably cooperate with any agreed handover process within the scope of the applicable agreement.
Refunds
Refund entitlement depends upon the nature of the service, project stage, work already performed, resources committed, third-party costs incurred, applicable contract, and mandatory legal rights. Payments made for completed milestones, approved deliverables, consumed professional hours, committed resources, purchased third-party services, or work already undertaken will generally not be refundable merely because the client subsequently changes strategy, requirements, internal priorities, or decides not to continue the project, except where otherwise agreed or required by applicable law. Where a separate Refund Policy, Proposal, Agreement, or commercial document specifies different refund terms, that document will govern the applicable transaction. Nothing in this section limits mandatory refund or consumer rights where such rights apply by law.
Third-Party Websites and External Links
RFZDigital.Ai may contain links to websites, platforms, resources, client projects, technology providers, social networks, or services operated independently of RFZ Digital. Such links may be provided for convenience, information, portfolio purposes, or functionality.
RFZ Digital does not control independent third-party websites and is not responsible for their content, security, privacy practices, availability, products, services, or policies. Users should review the terms and privacy policies applicable to external services before using them.
Limitation of Liability
To the maximum extent permitted by applicable law and subject to any different provisions contained within a specific client agreement, RFZ Digital will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from use of the website or services, including loss of anticipated profit, loss of opportunity, loss of goodwill, or business interruption, where such liability may lawfully be excluded.
Where RFZ Digital’s liability can lawfully be limited and no different limitation has been established in the applicable client agreement, RFZ Digital aggregate liability relating to a particular paid engagement will ordinarily not exceed the fees paid or payable to RFZ Digital for the services giving rise to the relevant claim during the applicable engagement or relevant period.
Nothing in these Terms is intended to exclude or restrict liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where applicable, or any other liability that cannot lawfully be excluded or limited.
Where a signed client agreement contains a specific limitation-of-liability framework, that framework will take precedence.
Client Responsibility for Business Decisions
RFZ Digital may provide strategic, technical, design, marketing, technology, architecture, AI, or operational recommendations as part of our services. The client remains responsible for its ultimate business decisions, product strategy, regulatory decisions, financial decisions, legal compliance, commercial decisions, and deployment decisions unless responsibility has expressly been assigned to RFZ Digital through a separate professional engagement.
RFZ Digital does not act as the client’s legal adviser, financial adviser, tax adviser, or regulatory authority unless explicitly contracted through an appropriately qualified service. Clients operating in regulated industries should obtain appropriate specialist advice for matters that fall outside RFZ Digital technology scope.
Compliance with Laws
Each party is responsible for complying with laws and regulations applicable to its own activities and obligations.
RFZ Digital may decline to develop, host, support, promote, or otherwise participate in products, services, campaigns, content, or activities that we reasonably believe are unlawful, fraudulent, deceptive, malicious, infringing, harmful, or inconsistent with applicable contractual obligations. Clients are responsible for informing RFZ Digital of industry-specific legal or regulatory requirements that materially affect project architecture or delivery, particularly where those requirements are unique to the client’s jurisdiction, sector, licensing status, or business model.
No Partnership or Agency
Engaging RFZ Digital as a technology or professional service provider does not, by itself, create a partnership, joint venture, employment relationship, fiduciary relationship, franchise, or agency relationship between RFZ Digital and the client. Neither party has authority to make commitments on behalf of the other unless expressly authorised in writing.
Assignment and Subcontracting
RFZ Digital may use employees, specialised contractors, affiliated operations, infrastructure providers, or professional partners to support delivery where appropriate.
RFZ Digital remains responsible for managing its delivery obligations in accordance with the applicable agreement. Where an engagement imposes restrictions on subcontracting, data access, geographic location, personnel, or security clearance, those project-specific requirements should be documented within the relevant agreement.
Communications and Electronic Records
The parties may communicate electronically through email, project management platforms, approved messaging systems, video conferencing tools, digital signatures, or other agreed communication channels. Written electronic approvals provided by authorised representatives may be relied upon for ordinary project decisions, feedback, acceptance, scheduling, and operational instructions. Material contractual amendments, major Change Requests, changes to project pricing, or amendments to legal obligations may require more formal written approval depending upon the applicable agreement.
Governing Law and Dispute Resolution
The governing law and jurisdiction applicable to a paid client engagement will primarily be determined by the Proposal, Agreement, Statement of Work, Master Services Agreement, or other contractual document governing that engagement.
Where an international project is involved, RFZ Digital and the client may agree on a specific jurisdiction, dispute-resolution process, arbitration mechanism, mediation procedure, or governing law appropriate to the commercial relationship.
Where no project-specific contractual provision exists, the applicable governing law and jurisdiction may be determined by the RFZ Digital contracting entity, the nature of the transaction, and applicable legal principles.
Before commencing formal legal proceedings, the parties are encouraged, where appropriate, to attempt in good faith to resolve commercial disputes through direct management-level discussion or another mutually acceptable dispute-resolution process.
Nothing in this section restricts either party from seeking urgent legal or equitable relief where reasonably necessary to protect confidential information, intellectual property, systems, assets, or legal rights.
International Clients
RFZ Digital works with clients across multiple international markets. Clients accessing our website or engaging our services from outside the jurisdiction of the relevant RFZ Digital contracting entity are responsible for determining whether local laws impose additional requirements upon their business or intended use of the services.
Where a particular project requires jurisdiction-specific compliance, data residency, security certification, regulatory architecture, licensing, accessibility, or industry standards, such requirements should be identified during project scoping and expressly included within the agreed scope where RFZ Digital is expected to implement them.
Changes to These Terms
RFZ Digital may update these Terms periodically to reflect changes in our services, business model, technology, legal requirements, commercial practices, or operational arrangements.
The current version will be published on www.RFZDigital.Ai together with the applicable “Last Updated” date.
Changes to these website Terms will not retrospectively override specific contractual rights already agreed under a separately signed client agreement unless the parties expressly agree otherwise.

Our Service Principle
At RFZ Digital, we believe successful technology partnerships depend on clarity, accountability, collaboration, and mutual trust. Our objective is to define expectations clearly, protect the interests of both RFZ Digital and our clients, and create a commercial framework that allows our teams to focus on what matters most: designing, developing, and delivering technology that creates measurable business value.
